Langsford created the company constitution (Section 6.16) so that it's impossible for any vote to be turned down by shareholders. In the event that proxies abstain from voting, the chairman Langsford votes on their behalf, hence no motion will ever be voted down.
Effectively proxy forms could be returned by anyone, then filled in as blank ,voting power falls to Langsford.
Just another one of Langsfords many tricks to deceive shareholders and prevent them from actually having a say in the company they thought they had for all these years..
It also means that Langsford would never receive a three strikes and your out vote, the proxies would always exceed actual yes votes received to remove him, last AGM Langsford used the proxies to help pass all the measures he wanted.
