    "Why doesn't the CEO and largest shareholder have a Board seat?"

    I’d guess it’s about balance of power / conflict of interest.
    In this sort of organisation the centres of power and influence are shareholders, the board, and management through the CEO. I’d take the view that one individual having a strong presence in all three areas could be unhealthy and could stifle differing views and discussion.
    So I’d guess the Chair followed this line and offered the CEO but not Board role.
    This is of course just a guess, maybe Dr T didn’t want a Board role, and no reflection on Dr T’s ability to tale a line which is right for shareholders and the organisation which I believe is remarkable.
