I agree about the fiduciary duty but Dingyi still get the chance to match any other offer. In the target statement on page 30, clause 6.9 states that if a superior proposal comes in, Dingyi have 5 business days to match it in which case, the directors would then continue to recommend Dingyi's improved offer.
