Below from the NOTICE OF ANNUAL GENERAL MEETING AND PROXY FORM (25 October 2024) to be voted on at Weds AGM.


Resolutions 4(a) – 4(d) - Approval to Issue DirectorPerformance Rights to Directors under the Existing Plan –Mr Dusko Ljubojevic, Mr Michael Davy, Mr Dale Ginn andMs Kyla Garic7.1 GeneralAs announced on 30 September 2024, the Company intends to issue, subject to shareholderapproval, a total of 56,000,000 Performance Rights (Director Performance Rights) to theDirectors (or their respective nominees), comprising of the following tranches


Tranche 1 Performance Rights will vest into fully paidordinary shares of the Company (1:1 basis) upon theCompany achieving eithera) a VWAP of $0.075 over a period of 15 trading daysbefore the Expiry Date; or;(b) a market capitalisation of $200 million over a periodof 15 trading days before the Expiry Date

Tranche 2 Performance Rights will vest into fully paidordinary shares of the Company (1:1 basis) upon theCompany achieving eithera) a VWAP of $0.10 over a period of 15 trading daysbefore the Expiry Date; or;(b) a market capitalisation of $350 million over a periodof 15 trading days before the Expiry Date

Tranche 3 Performance Rights will vest into fully paidordinary shares of the Company (1:1 basis) upon theCompany achieving eithera) a VWAP of $0.15 over a period of 15 trading daysbefore the Expiry Date; or;(b) a market capitalisation of $500 million over a periodof 15 trading days before the Expiry Date.

Tranche 4 Performance Rights will vest into fully paidordinary shares of the Company (1:1 basis) upon theCompany achieving eithera) a VWAP of $0.20 over a period of 15 trading daysbefore the Expiry Date; or;(b) a market capitalisation of $700 million over a periodof 15 trading days before the Expiry Date.
