the bid implementation should not have been signed by CLR previous board of directors. at the very least, the previous bod should have refrain from committing all other shareholders to a lowball offer.
the bid implementation agreement should only be signed after ALL shareholders had been consulted and after a majority vote of 75% of all shareholders.
there are grounds for legal action here.
the bid implementation SHOULD NOT have been signed in the midst of the takeover!
