A partly educated guess only, and I am happy to be proven wrong, but I think that may be where the shareholder allocates his/her proxies to the Chairman or someone else, without specifying how they should vote.....i.e. they are "open" ......even though usually the Chairman will indicate on the proxy form which way he would use any such proxies.

They may not be cast one way or the other at the meeting if those which specify which way to vote, together with the votes of those present are already in a clear majority.

Anyone with a better theory ?
