When they control MMX they can control 50% of the joint venture. With that the j/v has to accept whats in the interest of the two parties Sino effectively controlling the interest of MMX.
Sino doesn't necessarily want to control Crosslands it will just want to make sure they work together with Midwest. Giving Sino 100% of Midwest profits plus 1/2 of MMX's 1/2 = 25% of crosslands. Plus 1/2 of MMX's half of OPR.
But the big issue is Midwest is more cash effective if it teams with Crosslands.
