Technically, $7.5 million of the $18 million is alloted to Stage 1. So not quite the $12 million.

The rest is for Stage 2 and beyond.

It may still not be enough to satisfy the bank and the BR deal has to be signed first. I suppose it may depend on an agreement with the bank as to what needs to be kept as contingency.
