The definition of a sophisticated investor is someone who has net assets of $1m or more and/or has an annual income of $200,000 or greater.

These cap raisings are done without a prospectus.

These rules are put in place to protect people from so called unscruplious operators.

You are correct in that the best opportunities are often unavailable to the average joe.

The answer is to become rich and pressure companies that you invest in to cut you in on the action.

I will be pushing for my slice of the cap raising.
