The measure is one of a number that are preventive against hostile takeovers.
Another is the share registry, as Iltescu and other senior executives have a very high level of ownership.
I have referred to this many times as another reason I decided to buy into MSB.
The Chairman of MSB was CEO of Minter Ellison (top tier law firm and where the AGM was held) and is very forward thinking on the legal issues.
(BTW note to madamswer: it's possible to explain general principles without bignoting, or providing identifying information. What are you thinking?)
