Replacement Prospectus

This Prospectus is a replacement prospectus and makes changes to the original prospectus dated 9 May 2016. The material changes made to the original prospectus were:

• Inclusion of additional information derived from the audited consolidated statutory historical financial statements information of Nvoi detailed in Section 2.8.
• Detail at Section 3.2 regarding the circumstances by which Oceanic HR Pty Ltd, a company of which a Proposed Director, Mr Mark Rowlands, was director, came under external administration and a liquidator was appointed on 10 September 2013.
• The events leading to one of the anticipated Proposed Directors, Mr Lindsay Rowlands, withdrawing his consent and stepping down from the Board of Nvoi Limited are outlined in Section 3.3, including that that this presents a key personnel risk disclosed in Section 5.4.
• Further disclosure has been provided on the circumstances of the creditors voluntary liquidation of Nvoi Corporate Services Pty Ltd in Section 3.3, a company of which Mr Lindsay Rowlands was the sole director. Detail of an additional material contract listed in Section 4.7.
• Additional information regarding the historical development of the Nvoi product is detailed in Section 5.1 to address potential concern regarding the technical risk of a new platform.
• The specific legal risk of the liquidation of Nvoi Corporate Services to Nvoi Limited and the Company is detailed in Section 5.5.
• Amendment to the Investigating Accounts' report in Section 10 to include additional audited financial records.
• Amending the relevant parts of the Investment Overview in Section 1 to reflect the above changes.
