Resolution 2 is too vague about the issuing criteria. Lots of room for further nepotism, which appears to me to be a bit of a problem in gxy. I would like to know more about who are "sophisticated investors who are clients of brokers with whom the company enjoys an ongoing relationship". Sounds like whover they are would be having an early Christmas present at other shareholders' expense.
