Let me dumb this down and you tell me if I understand the agreement correctly.
- We (the company) gave them shares and said "here's some shares that are worth this much each, you don't have to pay for them until <this date>".
- When <this date> comes you have to pay for them. If they're worth more you can sell some of them to pay us back in full and keep the rest.
- If they're worth less you can sell them all, pay back what you can afford and we'll just wipe off anything else left owing?
