The special rules are actually for retail not the other way round.
Institutions and sophisticated investors aren't protected so are able to buy into cap. raisings without additional documents drafted by the company. Other investors can't do this for their own protection.
Do you really want the cowboy companies (not calling Z1P this, think GSW, BIG, DOU) issuing shares to people without adequate disclosure?
