CAPITAL RAISING AND REVIEW OF NEW OPPORTUNITIES
The Directors of ORT Limited (ORT or Company) have completed a review of the Company’s
financial position and future direction and wish to advise the market that the Company intends to
undertake a capital raising to raise approximately $720,000 with a view to applying the funds raised
to the identification of new investment or acquisition opportunities.
The Directors are continuing with the process of evaluating a number of potential alternatives for
investment in a new project or acquisition of a new business and an announcement will be made to
the market when a sustainable and appropriate opportunity is identified. The Company has
engaged the services of corporate advisory firm, Perspective Names Pty Ltd, to assist the process
of identification, review and evaluation of acquisition opportunities. In the event a material
opportunity or acquisition is identified the Company will be required to seek shareholder approval
and re-comply with the admission requirements of the ASX Listing Rules.
History
ORT underwent a demerger in May 2006 when the vast majority of shares the Company held in its
subsidiary, Organic Resource Technologies Limited (Organic), were distributed to the Company’s
shareholders. Prior to the demerger, the Company was involved in the development of a process
for the treatment of municipal organic waste (the DiCOM process), including its primary focus of
constructing the first full scale DiCOM waste treatment facility.
Following the demerger, the Company has pursued a number of potential opportunities and
supported Organic on a short term advance basis.
Capital Raising
The Company intends to complete the proposed capital raising in two tranches:
1. A placement of up to 22,000,000 ordinary shares at an issue price of 1 cent per share to raise
$220,000.
2. Subject to shareholder approval at a general meeting of the Company (to be convened), a
placement of up to 50,000,000 ordinary shares at an issue price of 1 cent per share to raise a
further $500,000.
Funds raised from the capital raisings will be applied to the ongoing identification of new investment
or acquisition opportunities and for general working capital. In the event that shareholders do not
approve the second capital raising, the balance of funds raised will be allocated primarily to working
capital.
