    Haven't studied the terms but is there a commercial interest rate on the loan and can the loan be forgiven by the company (ie not paid if the share price falls)?

    What's wrong with the traditional issuing of options over ordinary shares with a strike price in excess of the current share price. Provides incentive and reward.
