The concern you have, then, is that the chairman is engaging in activity that can lead to jail time.
The whole point of the "window" to sell shares Eckhoff referred to is to ensure that insiders do not make trades based on knowledge the market does not have. He could sell when he did because, in theory, there was nothing he knew that the market did not know.
