Hi Gibso....... I fully understand from shareholders point of view. However from a BoD's managements' operation 'it is a bloo.y nightmare.
Placing shares to institutions - Sophisticated Investors (look that up if necessary) is a fairly simple process. A share issue to all, including Retail Shareholders requires so many 'jumping through hoops' -costs- delays - the powers that be cannot be 'hurried up' (Public Servants- with power mate?) Retail Shareholders cannot imagine. Seen it from a Coy's Management point of view.
Most Coys have a rule that they can issue shares - 10% of issued shares within a period --usually without going through the 'hoops' (may have changed since I was in that area). So if you were a Coy Director, what would you do?
We can all gripe ............. me too.... but what is best for the Company.. ?
Keep safe all
