I don't see this being related to any sort of takeover defense.

This is merely stating that they are restricted from stating things related to future performance or future projections that could get them in trouble with the SEC. They are trying to keep their findings confidential as much as possible, at least in the near term.

I think this proposal also has a lot to do with treating our board of directors fairly so that they don't leave or get recruited to another company because they are not compensated enough. I can say that about D Craig but the others not so much.
