I feel more comfortable with the 50% side of things, than the 75%.
As for the ones that don't bother voting, the Board/Chairman can only vote the way that they want to, if they were given the full authority to do so.
I.e, if they nominate the Chairman of the meeting to act as their proxy at the meeting, and they don't fill out the how to vote part leaving it blank. As such, if that was to happen, the Chairman can cast those votes in the way it suits him best.
