The following documents lodged with SEC in the last two weeks.
The last lodged 19/10 - notice of effectiveness is a public declaration by the SEC that MSB registration (I assume filing of 09/10) has been accepted. For shares to trade they muts be registered. This notie makes the successful completion of the review.
The filing on 9/10 is a F-6 filing which is required for the registration of foreign companies shares. The filing has registered 50,000,000 ADR or 10,000,000 MSB shares.
So appears that MSB are going in for a Level 3 ADR issue. Level 3 sponsored ADRs must register with the SEC, and financial statements must be reconciled to GAAP. A Level 3 sponsorship is required, if the ADR is a primary offering and is used to raise capital for the company. Only Level 2 and Level 3 sponsored ADRs can be listed on the New York Stock Exchange, the American Stock Exchange, or NASDAQ.
