75% of shareholders who actually bother to vote, not 75% of all shareholders on the registry. The takeover is also successful if 50% of the FPOs vote for it (ie about 1.1bill shares vote for it). Traditionally not many people vote, but institutions and fund managers do, so this will be the deciding factor.
Lone Star have been negotiating since October last year and have put a bit of time and money into it. I'd like to think the takeover fails and they offer 30c to get it through.
No counter offers look like coming ATM.
