All tax related. Lower sale price by holding for the takeover, will result in a lower CGT. For retirees owning this in a SMSF or a/c based pension certainly better to hold for takeover.
But if owned by someone working with decent income you need to weigh up tax benefits of holding against possibility of takeover offer being withdrawn and opportunity cost of investing the funds elsewhere.
