No Intec are NOT smart.
IF THE SALE WAS ON MARKET, they will come extremely close to insider trading allegations for selling even a small stake in JRV (0.3% of MarketCap) whilst in possession of information that will affect the share price. Namely, the agenda for the meeting on 9/03/07 and their intended ourcomes of discussions.
Directors to not have to personally profit from the act, all that matters is that someone was 'induced' to act (ie Intec by selling) whilst being in 'possession' of information not available to the market.
I'm sure ASIC will be discussing that transaction.
