The onus (and expectation) is for Directors to be truthful.

ASX and ASIC only get involved if there's been suspected wrongdoing. There's no doubt plenty of wrongdoing in the small end of town but it often goes unseen and unpoliced because no analysts cover it and no funds are there to ask difficult questions.

As companies get bigger and enter say the ASX300 suddenly everyone wants to know - whats the story? Whats Growth rate? Is the revenue recurring? Where did these perform shares come from? etc.

Same way cops can't be everywhere at once.
