No nick I am well aware of non compete clauses being common which is usually restricted to not taking or approaching only existing company clients for a set period, usually 12 months.

So what did you expect a thesis to satisy you to cover point of detail or accept the bigger picture argument that with the ip behind senior management, including their reputation, expertise and existing relationships in the market their is a high risk of them walking out if their equity in sgh is obliterated to nothing. You seem rather desperate to find holes in an argument which is pretty basic and understood in professional circles.

You are just raising matters which are distracting and ignoring the bigger picture issues. Why don't you address whether the risk of key sgh management and staff walking out is real or not. As if you can't see that I would suggest you don't understand the situation very well.
