Perhaps a bit of both...
Total BS......as the shareholders will always have a vote in any Scheme of Arrangement as there is no way out of it if it going to move forward to the Courts for final approval. That is part of the requirements.
I think that someone got it wrong, or someone may love himself a little too much for saying that.
