Write out share 'certificate' for 333,067 shares @ 36c - terms - cannot be transferred until iou paid, iou must be paid if you leave company otherwise shares are forfeit and iou cancelled.

No cash changes hands. Asset to company (loan) and liability (shares) cancel each other in value.

Mark leaves company. Says keep the shares, I can buy on market for 18c at present.

IOU goes in bin, shares get cancelled.

Again, no cash changes hands and net assets remain same.
