    To prevent people with inside knowledge to manipulate the market or to gain unfair advantage. 1) Someone starts dumping stock to drive the price down then buys up the stock on the cheap from panicking holders who assume that the auction is a disaster. 2) Someone who knows the details buys up shares while all other SHs have no idea and just waiting for the results from an AN.
