Also, New Zealand registered companies that are listed on the NZX (which doesn't apply to NEU of course) or which have more than 50 share parcels and are at least 'medium-sized' (being total assets of at least $30m or income of at least $15m) should be subject to the New Zealand Takeovers Code.
The Takeovers Code restricts a shareholder and its associates from acquiring more than 20% of the shares in the relevant company without either obtaining shareholder approval for the acquisition of additional shares or launching a takeover offer in accordance with the process set out in the Code.
I'm a lawyer in NZ but this area is a little outside of my wheelhouse so perhaps someone else more knowledgeable can clarify whether the NZ Code applies to NEU.
