It makes perfect sense. The stock is tightly held. If they pile in now they might pick a few percent holding but at what cost
- driving up the base price from which they have to launch
- raising expectations
- drawing attention to themselves and their plans
The few percent holding they might acquire on market will be irrelevant to the eventual success or failure of the bid.
