E. APPROVAL OF SHARE CONSOLIDATION At the Meeting, Shareholders will be asked to consider and, if thought fit, pass a special resolution (the “Share Consolidation Resolution”) authorizing a consolidation (or reverse split) of the Company’s issued and unissued Shares into a lesser number of Shares (the “Share Consolidation”). The Share Consolidation Resolution will authorize the Board, in its discretion, to: select a Share Consolidation ratio of up to five (5) pre-consolidation Shares for one (1) postconsolidation Share; and direct the Company to file articles of amendment (the “Articles of Amendment”) to amend the Company’s articles to give effect to the Share Consolidation at such time as the Board deems appropriate, but in any event not later than April 30, 2026, subject to the Board’s authority to decide not to proceed with the Share Consolidation. The Board believes that it is in the best interests of the Company to authorize the Board to determine the timing and consolidation ratio for the Share Consolidation, in order to provide flexibility to implement the Share Consolidation in a manner, and at the time, that will maximize the anticipated benefits to the Company and Shareholders. Background to and Reasons for the Share Consolidation The Board believes that the potential benefits of the Share Consolidation include: Potential U.S. Listing. The Company may consider the possibility of a future listing on a major U.S. stock exchange. The higher anticipated price of the post-consolidation Shares may help make the Company eligible for such a listing.
