From my understanding this is how it went down:

Woolworth seels DSH for 100 mill, 10 mill cash and 90 later.

New owners do a right down on stock then re sell that stock, now the books looks fantastic.

Some cash goes on new stores to open.

IPO goes ahead, retail buyers are all over it.

Doors close on DSH because no money to buy stock for stores.

There is no case here IMO.

Thats where the illegal wrong doing occurred not the IPO or wow..
