    A few things need to be straightened out before more misinformation takes root.

    (1) The Supreme Court ruling absolutely confirmed a material change of control at GPR — and it didn’t happen via normal governance. It occurred through oppressive conduct, including share issues that unfairly diluted pre-existing shareholders and board stacking. That’s why the Court reversed it. You can dress it up however you like — but that is unlawful conduct in a corporate context.

    (2) Rimfire had a clause in its JV agreements to terminate if there was a change of control without disclosure. GPR never disclosed it. That's a breach. Rim had every right to terminate under those terms. This isn’t complicated.

    (3) Accusing Rimfire of “fraud” because funds were raised during a messy corporate dispute is a big leap — and legally unfounded. There’s been no ruling of fraud, no ASIC intervention, and no evidence Rimfire knowingly misled anyone. Raising money while a board is improperly constituted doesn’t equal criminal intent. That’s a matter between the invalidly appointed directors and those who funded them, not Rimfire.

    (4) Rimfire owes nothing to backers of a board that was found to be invalidly installed. That’s just commercial reality. If those parties want to chase recovery, they can take it up with the individuals involved — not the company that terminated them.Let’s stop pretending to “warn” shareholders while pushing worst-case scenarios as inevitable. That’s not research — that’s manipulation.
