Definition of proxy (Again !)A person authorized to act for another; an agent or substitute. 2. The authority to act for another. 3. The written authorization to act in place of another.

Authorised; Authority; written authorisation .... that's what those shareholders gave the Chair ... its a legitimate and acceptable way to vote ... for you to then call them a "disinterested voter" and say:

"I am sure your not suggesting that a "disinterested voter" giving an uncommitted proxy is truly casting their vote that is decided by a third party."

is being slightly cute at best. The voter gave the chair their proxy - "vote my shares as you deem best" .. and he/they did!

You should sell out of CTP and find another cause!! (cos at the moment, you seem to be a "rebel without a cause" - sorry that was poor but just had to say it :))
