Q1 - Yes - As amply evidenced in lead up to vote on infrastructure deal when many of us tried to explain it was simply in OCJ's hands unless they decided to abstain!! (OCJ have had this power for some time because you also have to remember that we never get the total balance of minority holders to vote so close to a simple majority of remaining shares gives them a large majority on actual vote numbers..............)
Q2 - Not Really, they must follow any conflict of interest rules and if not a conflict of interest will vote which way they believe is best.
