Another point. As I read the ann., BHP are offering $1.30 for UMC with all assets other than Railway, stripped out of the UMC company structure.

What are the other assets and what are they worth? How will it all be handled? Sell assets and return $$$s to SHs? Spin assets off into a subsidiary w. SH entitlements?

I suppose UMC's paperwork to us (when it arrives) will give some clues .....
