10.4.1 of prospectus- Those TEY Shares that would otherwise be issued to Foreign Phoenix Shareholders pursuant to their acceptance of the Takeover Offer will, in accordance with the terms of the Takeover Offer and section 619(3) of the Corporations Act, unless TEY otherwise determines, be sold by the sale nominee approved by ASIC.
