10.4.1 of prospectus- Those TEY Shares that would otherwise be issued to Foreign Phoenix Shareholders pursuant to their acceptance of the Takeover Offer will, in accordance with the terms of the Takeover Offer and section 619(3) of the Corporations Act, unless TEY otherwise determines, be sold by the sale nominee approved by ASIC. Assuming 100% acceptance of the Takeover Offer, the TEY Shares to be sold by the sale nominee on behalf of the Foreign Phoenix Shareholders is expected to amount to approximately 7.6% of the total issued capital of TEY immediately after completion of the Transaction.3
