I think it's been mentioned on several occasions, both here and possibly in interviews with Bahay that Shell isn't interested in owning the technology.
Treatment/Disposal etc is not their area of expertise. They'd much rather someone like PWN (or Veolia) take care of this.
This structure I assume would also place less liability on them, if say a company such as Veolia was responsible for this.
