if you bothered to read the anns, it was actually only 26,526,920 shares shortfall, the rest were the proposed directors who were entitled to subscribe for 31,499,305 shares but "forgo" those shares.
Kind of a tricky thing, because even though they forgo the shares, they are the underwritters so they still buy them.
