Why were we not told these discussions were taking place when the decision was made to issue options to management? Most of us just thought we were incentivising them to stretch theirs and the company's performance. Now it appears under this offer that they are going to get a significant payment for these options. An action that has been factored into this asking offer and reduced the amount availab
le for ordinary paid up shareholders in this buy out.

I guess we should have known when the director transferred his entire shareholding in TNT to his super fund given that it only has a 10-15% CGT depending on length of investment.
Something to learn for next time unfortunately.
