Maybe UTB shareholders can see or will see the medium to long term value 'the merger of equals' will create as they receive a $ amount on top of the future growth of TTS shares. And maybe Dick wants to beat Slatter to something before retiring later this year.

As mentioned, I still think the ACCC has a part to play. The merger will create strong competion to TAH which should be a good thing.
