It’s doesn’t matter who has the greater % ownership, the decisions have to be made as a joint partnership and there are things in place to keep the majority partner from enforcing decisions on the junior partner such as unanimous consent provisionsThey decided to go into partnership 5 years ago and are still partners to this day. The merger decision was as clear as day to me the moment Phil Lucas was appointed to the BOD. It was IMO always the plan which is why you’ve seen no effort or progress to hinder each other or to see the other partner
l'm not missing any point given you are so niave in thinking a 25% partner has the ability to say to the controlling 75% entity your not going into C&M because we say so and we dont care whether or not the JV is losing money hand over foot is either wanting others to believe in how to ruin a business fairly quickly.
Yes they did decide to partner up 5years ago and the Sesame Street Gang is totally responsible for the predicament we are currently in and hence the proposed merge before us, once again you miss the point the game is to add value to a company the road that has been taken has destroyed shareholders wealth and will continue to do so in the future and all this proposed merge has done is save the leeches bacon and that comes back to the incompetence of those who were in control 5 years ago and still are.
