    maybe i am reading it wrong but i don't see that the 1.5c has much to do with the proposed deal. its the 5 million that matters. bottom line is all the 1.5c does imo is reduce dilution. either way even if deal was at 3c lcy would still only have paid 5 million. could be wrong but thats my interpretation. i've been wrong before just ask my wife!
