The mechanism will almost certainly entail the engagement of an independent valuer, and there is no way that any valuer worth his salt is going to sign his name to a valuation that completely defies the valuation implied by a liquid, publicly traded market.
It is naive to think otherwise, even if that is what is written into the formal terms of the valuation.
