Blues, yes as I read it you're correct with the voting numbers, Brookfield can't vote and they then need 75% of the votes cast to vote yes for the merger
Going back to before the details of the recap deal was to be announced with Brookfield, Lowys directors were fighting to make sure that they and the other BEPPA holders should get near face value in the recap and were threatening with their size of holdings
Don't forget the Lowy family had a large holding of BEPPAs, around 47 million and at the time their directors were fighting hard for themselves as BEPPA holders and in effect all BEPPA holders interests
I seem to recall that the AET&D asset deal was struck I think to largely appease these substantial holders such as the Lowys & Bronte Capital, so I really cannot see how the previous larger BEPPA holders will now roll over and play dead and give up an important part of what they fought for originally. They were after the $1.00 plus face value so recouping something back for these AET&D assets would be of immense importance to them now IMO.
