This has been feared for some time and I have pointed at the problems associated with low SMM share prices time and time again-read the posts.
Obviously, I'll just ignore any *cash* offer unless it is closer to say $10 at least.
If it is in paper, then $12 equivalent will still be cheap to the takeover shark, IMHO.
Wait for comment from SMM. I'll bet they really want to come up fast with that Jorc update. They could also win the courtcase as well.
