If the decision to issue the shares was made whilst Casey was a Director, doesn't that make him liable for the decision? Perhaps we should ask him.

If made after his resignation, the two-director scenario arises - unless there has been a third director appointed and not announced - which would be a breach of ASX disclosure provisions.

Question for the legal eagles - if Casey appointed AS as alternate director then resigned, does the appointment remain valid?
