Im starting to sound like a broken record. In the end whether this deal succeeds will all come down to management whether that is management of the individual businesses, management at a board level and even management of debt. If Lazard severly prune this tree and get rid of ALL the dead wood there may still be life left in it. I am concerned that there may be a temptation to keep some of the dead wood as finding quality replacements isnt easy and lets be honest in some companies management is very good at hiding its inefficiencies elsewhere. Complete open and honest management may yet save the day. The trouble if it doesnt happen is that root rot spreads and the whole sorry scenario starts all over again.
