There could be other issues with the Lind agreement that were not disclosed publicly; they likely wanted to do 1 round of financing rather than that annoying, ongoing dilution by Lind. Who knows. Directors will participate I think. Dr. Garner holds tens of millions of shares still. If I were him I would not participate. Not that he doesn't believe in it. He just doesn't need a bigger position in any high risk startup biotech company.
